Troxus Event Giveaway – Official Rules

1. Sponsor

The Troxus Event Giveaway ("Promotion") is sponsored by Electromobility Solutions, Inc., located at:

Vista, CA 92081

("Sponsor")

2. Promotion Period

The Promotion will be offered at the following event:

Bike the Bay

•Location: San Diego, California•Event Date: August 23, 2026•Entry Deadline: 11:59 PM (local time) on August 23, 2026

Entries received after the applicable deadline will not be eligible.

3. Eligibility

The Promotion is open only to individuals who:

•Are at least eighteen (18) years of age at the time of entry;•Attend the applicable event in person;•Complete the official online entry form during the Promotion Period.

Employees, officers, directors, agents, and immediate family members of Sponsor, and anyone living in the same household, are not eligible to participate.

Void where prohibited by law.

4. How to Enter

Eligible attendees may enter by scanning the official Troxus QR code displayed at the event or by Direct Messaging the TroxusIG account “Bike the Bay”, and completing the online entry form.

Entrants must provide:

•Full Name•Email Address•Phone Number

Limit one (1) entry per person per event.

Duplicate, incomplete, fraudulent, or automated entries may be disqualified.

5. Prize

Each event will have one (1) winner.

Each winner will receive:

One (1) Troxus Trax Whim iQ electric bicycle

Approximate Retail Value (ARV): $1,599 USD

The winner may select an available frame size and color, subject to inventory availability.

The prize includes standard shipping within Sponsor's normal service area.

Accessories are not included.

The prize:

•is non-transferable;•may not be substituted;•has no cash value;•may not be redeemed for cash.

Sponsor reserves the right to substitute a prize of equal or greater value if necessary.

6. Winner Selection

One winner will be selected for each event by random drawing from all eligible entries.

The drawing will take place during the week following the applicable event.

Odds of winning depend on the total number of eligible entries received.

7. Winner Notification

The selected winner will be notified using the email address provided during entry.

The winner must respond within five (5) calendar days of the notification email.

Failure to respond within the required time period, failure to complete required documentation, or failure to satisfy eligibility requirements may result in disqualification.

If a selected winner is disqualified or forfeits the prize, Sponsor may select an alternate winner through another random drawing.

8. Prize Claim

Before receiving the prize, the selected winner must:

•complete and sign Sponsor's Affidavit of Eligibility and Liability/Publicity Release (where permitted by law);•provide any additional information reasonably requested to verify eligibility.

Failure to complete the required documentation within the requested timeframe may result in forfeiture of the prize.

9. Publicity Release

Except where prohibited by law, acceptance of a prize constitutes permission for Sponsor to use the winner's name, city, photograph, likeness, voice, and statements for advertising, promotional, and marketing purposes in any media now known or later developed without additional compensation.

10. Privacy

Information collected during the Promotion will be handled in accordance with the Troxus Privacy Policy.

By entering, participants agree to receive communications regarding the Promotion. Any promotional marketing communications are subject to applicable law and may be discontinued by following the unsubscribe instructions included in such communications.

11. Taxes

The winner is solely responsible for any federal, state, or local taxes or other governmental charges associated with acceptance or use of the prize. Sponsor will comply with any applicable tax reporting obligations required by law.

12. General Conditions

Sponsor reserves the right to verify eligibility and to disqualify any entrant who:

•tampers with the entry process;•submits false or misleading information;•violates these Official Rules; or•attempts to undermine the legitimate operation of the Promotion.

Sponsor's decisions regarding all matters relating to the Promotion are final and binding.

13. Cancellation or Modification

Sponsor reserves the right to cancel, suspend, modify, or terminate the Promotion if fraud, technical failures, unauthorized intervention, force majeure, or any other cause beyond Sponsor's reasonable control impairs the integrity or proper operation of the Promotion.

14. Limitation of Liability

By participating, entrants agree to release and hold harmless Sponsor, its affiliates, employees, officers, directors, agents, event organizers, and their respective representatives from any liability, loss, damage, injury, or claim arising from participation in the Promotion or acceptance, possession, or use of the prize, except where prohibited by law.

15. Governing Law

The Promotion and these Official Rules shall be governed by and interpreted under the laws of the State of California, without regard to its conflict of law principles.

Any disputes arising from the Promotion shall be resolved exclusively in the state or federal courts located in California.

16. Acceptance of Rules

Participation in the Promotion constitutes the entrant's full and unconditional agreement to these Official Rules and Sponsor's decisions, which are final and binding in all matters relating to the Promotion.
